Terms of sale

Yurae is a trading name of Obsidian Trail Ltd., a company registered in Seychelles under number 250296, Statehouse Avenue, Victoria House, Room 306, Victoria, Seychelles. In these terms "we" and "us" mean Obsidian Trail Ltd., and "you" means the business buying from us.

1. We sell to businesses only

We sell to companies and sole traders who buy for resale or for use in their business. By opening an account or placing an order you confirm that you act in the course of business and not as a consumer. Consumer protection rules do not apply to our contracts.

These terms, your order confirmation and our privacy policy form the whole agreement between us. Your own purchasing conditions do not apply, even if you send them to us.

2. Accounts

Access to the shop and to wholesale prices is by invitation. We open an account after checking your company details and, where relevant, your VAT number. We can decline to open an account without giving a reason.

Keep your login details confidential. You are responsible for everything done under your account. We can suspend or close an account if we believe it is being misused.

3. Products and prices

Each product page shows the case size, which is the minimum quantity for that product. The minimum order value is €650 net. Prices are in euro and exclude VAT and shipping unless the checkout says otherwise.

We update prices from time to time. The price shown when you place your order is the one that applies. If a price is obviously wrong we will tell you before we accept the order, and you can cancel free of charge.

Product photos and descriptions are for information. Average resale prices shown in the shop are estimates based on public retail listings. We do not guarantee them.

4. Ordering

You place an order request through your account. It becomes a binding order when we confirm it by email and you have paid. Until then either of us can cancel it.

We may refuse an order, for example when a product is out of stock or when we cannot ship to your country. If we cannot supply part of an order we tell you and refund that part.

5. Payment

Orders are paid before dispatch through our payment provider, Inflow. Depending on your country you can pay by card, bank transfer, Apple Pay or Google Pay. Inflow sends you a payment confirmation and an invoice for each payment.

VAT is applied according to the rules for your country and for the place the goods ship from. If you have given us a valid EU VAT number and the reverse charge applies, we do not charge VAT and you account for it in your own country. The checkout shows the exact amount before you pay.

6. Shipping and delivery

Depending on the product we ship either from our stock in the European Union or directly from Korea. Your order confirmation says which.

• From EU stock: we normally dispatch within 48 hours of payment. Delivery within the EU takes about 8 days on average. Delivery dates are estimates.
• Directly from Korea: you are the importer of record. Import VAT, customs duties and any handling fees charged by the carrier or by customs are for your account, unless your order confirmation says the price includes them. You are responsible for any import declaration or licence your country requires.

Risk passes to you when the carrier delivers the goods to the address you gave us. Ownership passes when we have received full payment.

7. Checks on delivery and returns

Check the number of parcels and any visible damage when you sign for the delivery, and note problems on the carrier's document. Transport damage and missing parcels are handled with the carrier under its terms.

We do not take back goods once delivered. Opened or handled cosmetics cannot be resold. If we sent you a different product from the one you ordered, tell us at contact@yurae.beauty and we sort it out. Our refunds and cancellations page sets out the deadlines and how refunds are paid.

8. Product compliance

Products shipped from EU stock have a CPNP notification and EU-compliant labelling when they reach you. For products shipped directly from Korea you import the goods and, unless we agree otherwise in writing, you are the responsible person for that product in the EU under Regulation (EC) 1223/2009.

You are responsible for how you store, present and resell the products, and for the rules of your own country. Do not change the packaging or labelling without our written agreement.

9. Samples

We prepare sample cases at wholesale price and credit the amount against your first order above €650.

10. Our liability

We are liable for direct damage caused by our breach of these terms, up to the amount you paid for the order concerned. We are not liable for lost profit, lost sales or other indirect damage.

Nothing in these terms limits liability that the law does not allow us to limit, such as liability for fraud or for personal injury caused by our negligence.

11. Events outside our control

Neither of us is liable for delay or failure caused by events outside reasonable control, such as customs delays, carrier failures, strikes, natural disasters or supplier shortages. We tell you as soon as we can and agree a new delivery date.

12. Intellectual property

Brand names, product images and texts on the site belong to us or to the brands. You may use them to resell the products you bought from us, in the form we supplied them, and for nothing else.

13. Changes to these terms

We can change these terms. The version published on yurae.beauty when you place an order is the one that applies to that order.

14. Governing law and disputes

These terms are governed by the laws of the Republic of Seychelles, and the courts of Seychelles have exclusive jurisdiction. Before going to court we both agree to try to settle the dispute by discussion within 30 days. The English version of these terms prevails over any translation.
